CONTRACT REVIEW CONSULTANCY – TERMS OF BUSINESS

1. About Us
Contract Review Consultancy (“we”, “us”, “our”) provides contract review and risk advisory services to professionals in the construction industry, including architects, engineers, and consultants.

2. Scope of Services
2.1 We provide a review of contracts and related documents to identify key legal and commercial risks.
2.2 Our services may include:

  • Written summaries of risks

  • Suggested amendments or commentary

  • General guidance on negotiation points

2.3 Our services are limited to the scope agreed with you in writing.

3. Nature of Advice
3.1 Our services are provided as commercial contract consultancy and risk guidance.
3.2 We do not undertake any reserved legal activities and do not act as your solicitor on record.
3.3 You remain responsible for:

  • Any final decisions taken

  • Obtaining formal legal advice where required

4. Client Responsibilities
You agree to:

  • Provide complete and accurate documents

  • Inform us of any relevant background or deadlines

  • Review our advice and raise any queries promptly

We are not responsible for issues arising from incomplete or inaccurate information.

5. Fees and Payment
5.1 Fees will be agreed in advance, typically on a fixed-fee basis.
5.2 Payment terms:

  • Payment due within 7 days of invoice (or upfront where agreed)
    5.3 We reserve the right to suspend work if payment is not received.

6. Turnaround Times
6.1 Any turnaround times provided are estimates only.
6.2 We are not liable for delays caused by:

  • Late receipt of documents

  • Changes in scope

  • Factors outside our control

7. Limitation of Liability
7.1 Our total liability to you in connection with any services shall be limited to:

The amount of fees paid by you for the relevant services.

7.2 We shall not be liable for:

  • Indirect or consequential losses

  • Loss of profit, revenue, or opportunity

  • Any third-party claims

8. Confidentiality
8.1 We will treat all client documents and information as confidential.
8.2 We may use anonymised learnings for internal purposes only.

9. Intellectual Property
9.1 All materials produced by us remain our intellectual property.
9.2 You are granted a licence to use our advice for your internal business purposes only.

10. Data Protection

11. Termination
11.1 Either party may terminate the engagement at any time by written notice.
11.2 You will pay for all work completed up to the date of termination.

12. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Acceptance By instructing us to proceed with the services, you confirm that you accept these Terms of Business.
